Terms of Service

These Terms of Service ("Terms") govern your access to and use of Team Scheduler (the "Service") operated by us. By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

You must be able to form a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must provide accurate registration information and notify us promptly of unauthorized use if we offer a reporting channel.

We provide the Service on an "as is" and "as available" basis. We may modify, suspend, or discontinue features or the entire Service at any time, with or without notice, except where prohibited by law.

  • Do not use the Service in violation of law or third-party rights.
  • Do not attempt to gain unauthorized access to accounts, data, systems, or networks.
  • Do not interfere with or disrupt the Service, including by overloading infrastructure, bypassing security, or introducing malware.
  • Do not scrape, harvest, or automate access in a way that impairs the Service or violates our policies.
  • Do not harass, abuse, or harm other users.

We allow good-faith security research and penetration-style testing only to the extent it follows responsible disclosure and common industry practice. In plain terms: you may investigate whether a security issue exists and demonstrate it in a minimal way so we can understand and fix it—for example, showing that a class of access is possible without fully "completing" a real-world breach, exfiltrating unrelated user data, or causing lasting harm.

You must not: access, copy, alter, or exfiltrate data you are not authorized to access; degrade or deny service for other users; pivot from the Service to attack other people or systems; use social engineering against our users or staff; install persistent malware; or continue testing after we tell you to stop.

We recommend reporting findings to us promptly with enough detail to reproduce the issue. We may acknowledge receipt and coordinate remediation at our discretion.

We operate logging, monitoring, and security controls to protect the Service and our users. We may use this information to detect abuse, investigate incidents, and support legal compliance.

If we determine that activity exceeds good-faith research or violates these Terms—including destructive testing, data theft, harassment, or sustained abuse—we may suspend or terminate access, preserve evidence, refer matters to law enforcement, and pursue civil remedies. Whether we pursue any particular remedy, including litigation, is entirely at our sole discretion.

You retain ownership of content you submit. You grant us a license to host, process, display, and distribute that content as needed to operate the Service for you and your team. You represent that you have the rights to grant this license.

The Service, including its design, branding, and software (excluding your content), is owned by us or our licensors. You may not copy, modify, or reverse engineer except as permitted by law or with our written consent.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS (IF YOU HAVE NOT PAID US). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

You will defend and indemnify us against claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, your content, or your violation of these Terms, except to the extent caused by our willful misconduct.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we need to protect the Service or others. Provisions that by their nature should survive (including limitations of liability, indemnity, and dispute terms) will survive termination.

These Terms are governed by the laws applicable to the operator of the Service, without regard to conflict-of-law rules. Courts in the jurisdiction where the operator is located have exclusive jurisdiction over disputes, unless a different mandatory rule applies where you live.

We may update these Terms from time to time. We will post the updated Terms and revise the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms where allowed by law.
